Existing Unencumbered Assets. As of the Effective Date, the parties hereto acknowledge and agree that the Properties listed on Schedule 4.1 are Unencumbered Assets as of September 30, 2023. On any date of determination, each Property that satisfies the definition of Unencumbered Asset shall be deemed to be included as an Unencumbered Asset, unless such Property has been excluded pursuant to the terms of Section 4.2 below.
