Common use of Expenses and Attorneys’ Fees Clause in Contracts

Expenses and Attorneys’ Fees. Borrower agrees to pay promptly all reasonable out-of-pocket fees, costs and expenses (including those of external attorneys) incurred by Administrative Agent and Lead Arranger in connection with any matters contemplated by or arising out of the Loan Documents. In addition to fees due under Subsections 1.4(A) and (B), Borrower shall also reimburse on demand Administrative Agent for its out-of-pocket expenses (including reasonable attorneys’ fees and expenses and expenses) incurred in connection with the transactions contemplated herein. In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees to pay promptly (i) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from Borrower. All fees, costs and expenses for which Borrower is responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph of Subsection 1.5.

In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees to pay promptly (i1) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii2) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or or, during the continuance of any Event of Default, any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from Borrower. All fees, costs and expenses for which Borrower is responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph of Subsection 1.51.5 and shall be secured by the Collateral.

In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees to pay promptly (i) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from Borrower. All fees, costs and expenses for which Borrower is responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph of Subsection 1.5.be

In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees to pay promptly (i1) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii2) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from Borrower. All fees, costs and expenses for which Borrower is responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon promptly following demand (and in no event within five (5) Business Days of such demand) and in accordance with the second third paragraph of Subsection 1.51.5 and shall be secured by the Collateral.

Expenses and Attorneys’ Fees. In addition to fees due under Subsections 1.4 (A) and 1.4(B), the Borrower agrees to pay promptly all reasonable fees, costs and expenses (including those of attorneys) incurred by the Administrative Agent or the Lead Arranger in connection with (i) the syndication of the credit facility contained herein and the preparation and negotiation of this Agreement and the other Loan Documents and (ii) in the case of the Administrative Agent only, the continued administration of the Loan Documents, including any such reasonable fees, costs and expenses incurred in connection with any amendments, supplements, modifications and waivers of any Loan Document. In addition to fees due under Subsections 1.4(A) and 1.4(B), the Borrower agrees to pay promptly all reasonable out-of-pocket fees, costs and expenses (including those of external attorneys) incurred by , provided that the Borrower shall only be obligated to reimburse for one set of attorneys for the Administrative Agent and Lead Arranger in connection with any matters contemplated by or arising out of the Loan Documents. In addition to fees due under Subsections 1.4(A) and (B), Borrower shall also reimburse on demand Lenders unless the Administrative Agent for or any Lender reasonably determines that due to a conflict or otherwise its out-of-pocket expenses (including reasonable attorneys’ fees and expenses and expensesinterests are better represented by separate counsel) incurred in connection with the transactions contemplated herein. In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees to pay promptly (i) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii) all reasonable out-of-pocket fees, costs and expenses incurred by each of the Administrative Agent and the Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from the Borrower. All fees, costs and expenses for which the Borrower is responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph . Table of Subsection 1.5.Contents Credit Agreement/Citizens Communications Company

In addition to fees due under Subsections 1.4(A) and 1.4(B), Borrower agrees to pay promptly all reasonable out-of-pocket fees, costs and expenses (including those of external attorneys) incurred by Administrative Agent and Lead Arranger in connection with (i) any matters contemplated by or arising out of the Loan Documents, (ii) the continued administration of the Loan Documents, including any such fees, costs and expenses incurred in perfecting, maintaining, determining the priority of and releasing any security and any tax payable in connection with any Loan Documents and any amendments, modifications and waivers. In addition to fees due under Subsections 1.4(A) and (B), Borrower shall also reimburse on demand each of Administrative Agent and Banco Popular de Puerto Rico for its out-of-pocket expenses (including reasonable attorneys’ fees and expenses and expenses) incurred in connection with the documenting and closing the transactions contemplated herein. In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees to pay promptly (i) all reasonable fees, costs and expenses incurred by Administrative Agent and Lenders in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from Borrower. All fees, costs and expenses for which Borrower is responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph of Subsection 1.51.5 and shall be secured by the Collateral.

In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees Borrowers agree to pay promptly (i) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any reasonable action to enforce any Loan Document or to collect any payments due from BorrowerBorrowers under any Loan Document. All fees, costs and expenses for which Borrower is Borrowers are responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph of Subsection 1.5.

Borrower agrees Loan Parties agree to pay promptly all reasonable out-of-pocket fees, costs and expenses (including those of external attorneys) incurred by Administrative Agent and Lead Arranger in connection with (i) any matters contemplated by or arising out of the Loan Documents, and (ii) the continued administration of the Loan Documents, including any such fees, costs and expenses incurred in perfecting, maintaining, determining the priority of and releasing any security, in connection with any amendments, modifications and waivers and any tax payable in connection with any Loan Documents. In addition to fees due under Subsections 1.4(A) and (BSubsection 1.4(C), Borrower Loan Parties shall also reimburse on demand Administrative Agent Agent, Syndication Agent, Co-Lead Arrangers and Lenders for its their respective out-of-pocket expenses (including reasonable attorneys’ fees and expenses and syndication costs and expenses) incurred in connection with the transactions contemplated herein. In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees Loan Parties agree to pay promptly (i) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from BorrowerLoan Parties. All fees, costs and expenses for which Borrower is Loan Parties are responsible under this Subsection 1.4(D1.4(E) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph of Subsection 1.5.1.5 and secured by the Collateral. SunTrust Xxxxxxxx Xxxxxxxx, a division of SunTrust Capital Markets, Inc., as Co-Lead Arranger, is an express third-party beneficiary of this Subsection 1.4(E). Second Amended and Restated Credit Agreement/D&E Communications, Inc.

In addition to fees due under Subsections 1.4(A) and (B), Borrower shall also reimburse on demand each of Administrative Agent and Lenders for its their out-of-pocket expenses (including reasonable attorneys’ fees and expenses and syndication costs and expenses) incurred in connection with the transactions contemplated herein. In addition to fees due under Subsections 1.4(A) and (B), Borrower agrees to pay promptly (i) all reasonable fees, costs and expenses incurred by Administrative Agent in connection with any amendment, supplement, waiver or modification of any of the Loan Documents and (ii) all reasonable out-of-pocket fees, costs and expenses incurred by each of Administrative Agent and Lenders in connection with any amendment, supplement, waiver or modification of any of the Loan Documents, any Default or Event of Default and any enforcement of collection proceeding resulting therefrom or any workout or restructuring of any of the transactions hereunder or contemplated thereby or any action to enforce any Loan Document or to collect any payments due from Borrower. All fees, costs and expenses for which Borrower is responsible under this Subsection 1.4(D) shall be deemed part of the Obligations when incurred, payable upon demand and in accordance with the second paragraph of Subsection 1.51.5 and secured by the Collateral.
