Expenses Borne by the Trust. This Amendment may be contemporaneously executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

The parties acknowledge that the Agreement, as amended, remains in full force and effect as of the date of this Amendment, and that this Amendment, together with the Agreement and any prior amendments, contains the entire understanding and the full and complete agreement of the parties and supercedes and replaces any prior understandings and agreements among the parties respecting the subject matter hereof. 3. This Amendment may be contemporaneously executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

Expenses Borne by the Trust. Expenses Borne by the Trust. Without limitation, such costs and expenses shall include but not be limited to: (a) all charges of depositories, custodians and other agencies for the safekeeping and servicing of its cash, securities, and other property; (b) all charges for equipment or services used for obtaining price quotations or for communication between the Adviser or the Trust and the custodian, transfer agent or any other agent selected by the Trust; (c) all charges for administrative and accounting services provided to the Trust by the Adviser, or any other provider of such services; (d) all charges for services of the Trust's independent auditors and for services to the Trust by legal counsel; (e) all compensation of Trustees, other than those affiliated with the Adviser, all expenses incurred in connection with their services to the Trust, and all expenses of meetings of the Trustees or committees thereof; (f) all expenses incidental to its organizationholding meetings of holders of units of interest in the Trust ("Unitholders"), operations including printing and business not specifically assumed of supplying each record-date Unitholder with notice and proxy solicitation material, and all other proxy solicitation expense; (g) all expenses of printing of annual or agreed more frequent revisions of the Trust's prospectus(es) and of supplying each then-existing Unitholder with a copy of a revised prospectus; (h) all expenses related to be paid preparing and transmitting certificates representing the Trust shares; (i) all expenses of bond and insurance coverage required by JCM pursuant law or deemed advisable by the Board of Trustees; (j) all brokers' commissions and other normal charges incident to Sections 3 and 6 hereofthe purchase, including, but not limited to, investment adviser fees; any compensation, feessale, or reimbursements which lending of portfolio securities; (k) all taxes and governmental fees payable to Federal, state or other governmental agencies, domestic or foreign, including all stamp or other transfer taxes; (l) all expenses of registering and maintaining the registration of the Trust pays under the Act and, to its Trustees who are not “interested persons,” as defined in the 1940 Actextent no exemption is available, expenses of registering the Trust's shares under the Securities Act of 1933, of JCM; compensation qualifying and related expenses of the Chief Compliance Officer maintaining qualification of the Trust and compliance staff, as authorized from time to time by the Trustees of the Trust; compensation ('s shares for sale under securities laws of various states or other jurisdictions and any out-of-pocket expenses as may be agreed upon) of registration and qualification of the Fund’s custodian, transfer agent, administrator, fund accounting agent, registrar and dividend disbursing agent; legal, accounting, audit and printing expenses; administrative, clerical, recordkeeping and bookkeeping expenses; brokerage commissions and Trust under all other expenses in connection with execution of portfolio transactions (including any appropriate commissions paid to JCM, its affiliates, or other Fund service providers, for effecting exchange listed, over-the-counter or other securities transactions); interest; all federal, state and local taxes (including stamp, excise, income and franchise taxes); costs of stock certificates and expenses of delivering such certificates to purchasers thereof; expenses of local representation in Massachusetts; expenses of shareholders’ meetings and of preparing, printing and distributing proxy statements, notices, and reports to shareholders; expenses of preparing and filing reports and tax returns with federal and state regulatory authorities; all expenses incurred in complying with all federal and state laws and the laws of any foreign country applicable to the issueTrust or its business activities; (m) all interest on indebtedness, offerif any, incurred by the Trust or sale of shares of the a Fund, including, but not limited to, all costs involved in the registration or qualification of shares of the Fund for sale in any jurisdiction, the costs of portfolio pricing services and compliance systems, and all costs involved in preparing, printing and mailing prospectuses and statements of additional information to Fund shareholders; and (n) all fees, dues and other expenses incurred by the Trust in connection with the membership of the Trust in any trade association or other investment company organization.

Without limitation, such costs and 6 hereof, including, expenses shall include but not be limited to: (a) all charges of depositories, investment adviser fees; any compensationcustodians and other agencies for the safekeeping and servicing of its cash, feessecurities, and other property; (b) all charges for equipment or reimbursements which services used for obtaining price quotations or for communication between the Trust pays to its Trustees who are not “interested persons,” as defined in the 1940 Act, of JCM; compensation and related expenses of the Chief Compliance Officer of Manager or the Trust and compliance staff, as authorized from time to time by the Trustees of the Trust; compensation (and any out-of-pocket expenses as may be agreed upon) of the Fund’s custodian, transfer agent, administrator, fund any administrator or any other agent selected by the Trust; (c) all charges for and accounting agent, registrar and dividend disbursing agent; legal, accounting, audit and printing expenses; administrative, clerical, recordkeeping and bookkeeping expenses; brokerage commissions and all other expenses in connection with execution of portfolio transactions (including any appropriate commissions paid services provided to JCM, its affiliatesthe Trust by the Manager, or any other Fund service providersprovider of such services; (d) all charges for services of the Trust's independent auditors and for services to the Trust by legal counsel; (e) all compensation of the Trustees, for effecting exchange listedother than those affiliated with the Manager, over-the-counter or other securities transactions); interest; all federal, state and local taxes (including stamp, excise, income and franchise taxes); costs of stock certificates and expenses of delivering such certificates to purchasers thereof; expenses of local representation in Massachusetts; expenses of shareholders’ meetings and of preparing, printing and distributing proxy statements, notices, and reports to shareholders; expenses of preparing and filing reports and tax returns with federal and state regulatory authorities; all expenses incurred in complying connection with their services to the Trust, and all federal expenses of meetings of the Trustees or committees thereof; (f) all expenses incidental to holding meetings of holders of shares of interest in the Trust ("SHAREHOLDERS"), including printing and of supplying each record-date Shareholder with notice and proxy solicitation material, and all other proxy solicitation expenses; (g) all expenses of printing of annual or more frequent revisions of the Trust prospectus(es) and of supplying each then-existing Shareholder with a copy of a revised prospectus; (h) all expenses related to preparing and transmitting certificates (if any) representing the Trust shares; (i) all expenses of bond and insurance coverage required by law or deemed advisable by the Board of Trustees; (j) all brokers' commissions and other normal charges incident to the purchase, sale, or lending of portfolio securities; (k) all taxes and governmental fees payable to Federal, state laws or other governmental agencies, domestic or foreign, including all stamp or other transfer taxes; (l) all expenses of registering and maintaining the registration of the Trust under the 1940 Act and, to the extent no exemption is available, expenses of registering the Trust's shares under the Securities Act of 1933, of qualifying and maintaining qualification of the Trust and of the Trust's shares for sale under securities laws of any foreign country various states or other jurisdictions and of registration and qualification of the Trust under all other laws applicable to the issueTrust or its business activities; (m) all interest on indebtedness, offerif any, incurred by the Trust or sale of shares of the a Fund, including, but not limited to, all costs involved in the registration or qualification of shares of the Fund for sale in any jurisdiction, the costs of portfolio pricing services and compliance systems, and all costs involved in preparing, printing and mailing prospectuses and statements of additional information to Fund shareholders; and and (n) all fees, dues and other expenses incurred by the Trust in connection with the membership of the Trust in any trade association or other investment company organization.
