Common use of Expenses; Indemnities Clause in Contracts

Expenses; Indemnities. (a) Each Lender agrees to reimburse the Administrative Agent and each of its Related Persons (to the extent not reimbursed by the Borrower or one or more of its Subsidiaries) promptly upon demand for such Lender’s Pro Rata Share of any costs and expenses (including fees, charges and disbursements of financial, legal and other advisors and Other Taxes paid in the name of, or on behalf of, the Borrower or one or more of its Subsidiaries) that may be incurred by the Administrative Agent or any of its Related Persons in connection with the preparation, syndication, execution, delivery, administration, modification, consent, waiver or enforcement (whether through negotiations, through any work-out, bankruptcy, restructuring or other legal or other proceeding or otherwise) of, or legal advice in respect of its rights or responsibilities under, any Loan Document.

(a) Each Lender agrees to reimburse the Administrative Agent and each of its Related Persons (to the extent not reimbursed by any Credit Party and without limitation of the Borrower or one or more of its SubsidiariesCredit Parties’ obligations to do so) promptly upon demand demand, severally and ratably, for such Lender’s Pro Rata Share of any reasonable and documented costs and expenses (including reasonable fees, charges and disbursements of financiallegal advisors and fees, legal charges and disbursements of financial and other advisors and Other Taxes paid in the name of, or on behalf of, the Borrower or one or more of its Subsidiariesany Credit Party) that may be incurred by the Administrative Agent or any of its Related Persons in connection with the preparation, syndication, execution, delivery, administration, modification, consent, waiver or enforcement (whether through negotiations, through any work-out, bankruptcy, restructuring or other legal or other proceeding or otherwise) of, or legal advice in respect of its rights or responsibilities under, any Loan Document.

(a) Each Lender agrees to reimburse the Administrative Agent and each of its Related Persons Parties (to the extent not reimbursed by the Borrower any Obligor or one or more of its Subsidiaries) promptly upon demand for such Lender’s Pro Rata Proportionate Share of any costs and expenses (including fees, charges and disbursements of financial, legal and other advisors and Other Taxes paid in the name of, or on behalf of, the Borrower any Obligor or one or more of its Subsidiaries) that may be incurred by the Administrative Agent or any of its Related Persons Parties in connection with the preparation, syndication, execution, delivery, administration, modification, consent, waiver or enforcement (whether through negotiations, through any work-out, bankruptcy, restructuring or other legal or other proceeding or otherwise) of, or legal advice in respect of its rights or responsibilities under, any Loan Document.

(a) Each Lender (other than the Supplemental Loan Lender) agrees to reimburse the Administrative each Agent and each of its Related Persons (to the extent not reimbursed by the Borrower or one or more of its Subsidiariesany Loan Party) promptly upon demand for such Lender’s Pro Rata Share Applicable Percentage with respect to the Revolving Facility of any costs and expenses (including fees, charges and disbursements of financial, legal and other advisors and Other Taxes paid in the name of, or on behalf of, the Borrower or one or more of its Subsidiariesany Loan Party) that may be incurred by the Administrative such Agent or any of its Related Persons in connection with the preparation, syndication, execution, delivery, administration, modification, consent, waiver or enforcement (whether through negotiations, through any work-out, bankruptcy, restructuring or other legal or other proceeding or otherwise) of, or legal advice in respect of its rights or responsibilities under, any Loan Document.

Expenses; Indemnities. (a) Each Lender agrees to reimburse the Administrative Agent and each of its Related Persons Affiliates (to the extent not reimbursed by the Borrower or one or more of its Subsidiariesany Credit Party) promptly upon demand for such Lender’s Pro Rata Share Commitment Percentage with respect to the Facilities (in the case of the Administrative Agent and its Affiliates) of any costs and expenses (including fees, charges and disbursements of financial, legal and other advisors and Other Taxes paid in the name of, or on behalf of, the Borrower or one or more of its Subsidiariesany Credit Party) that may be incurred by the Administrative Agent or any of its Related Persons Affiliates in connection with the preparation, syndication, execution, delivery, administration, modification, consent, waiver or enforcement (whether through negotiations, through any work-out, bankruptcy, restructuring or other legal or other proceeding or otherwise) of, or legal advice in respect of its rights or responsibilities under, any Loan Credit Document.
