Common use of Expenses of Registration Clause in Contracts

Expenses of Registration. All expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Agreement, incurred in connection with registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, printing and accounting fees, and fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company.

Expenses of Registration. All legal expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Equity Financing Agreement, incurred in connection with registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, and printing and accounting fees, and fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company.

All expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Agreement, incurred in connection with registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, printing and accounting fees, and fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company. However, the Investor will pay the costs of its own counsel to review the Registration Statement, any amendments thereto, and any correspondence with the SEC.

Expenses of Registration. All expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Agreementor selling commissions, relating to Registrable Securities incurred in connection with registrations including commentsregistration, filings filing or qualifications qualification pursuant to Sections Section 2 and 3of this Agreement, including, including (without limitation, ) all registration, listing filing and qualifications qualification fees, printing printers' bills, mailing and delivery expenses, accounting fees, and the fees and disbursements of counsel for the Company or for the Investor Company, shall be paid borne by the Company.

All legal expenses, other than underwriting discounts and sales or brokerage commissions and other than as set forth in the Investment Equity Financing Agreement, incurred in connection with registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, and printing and accounting fees, and fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company.

Expenses of Registration. All expenses, other than underwriting discounts and commissions and other fees and expenses of investment bankers and other than as set forth in the Investment Agreementbrokerage commissions, incurred in connection with registrations including commentsregistrations, filings or qualifications pursuant to Sections 2 and Section 3, but including, without limitation, all registration, listing listing, and qualifications qualification fees, printing and accounting fees, and the fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company.

All expenses, expenses (other than underwriting discounts fees and commissions expenses of investment bankers and other than as set forth in the Investment Agreement, brokerage commissions) incurred in connection with registrations including commentsregistrations, filings or qualifications pursuant to Sections 2 and Section 3, including, without limitation, all registration, listing and qualifications fees, printing printers and accounting fees, fees and the fees and disbursements of counsel for the Company or for the Investor Company, shall be paid borne by the Company; PROVIDED, HOWEVER, that Holders shall bear the fees and out-of-pocket expenses of its legal counsel and accountants and agents selected by it.

All expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Agreement, incurred in connection with or in any way related to registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, printing and accounting fees, and fees and disbursements of counsel for the Company or Company. Expenses of Registration. All legal expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Agreement, incurred in connection with registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, printing and accounting fees, and the legal fees and disbursements of Investor’s counsel for the Company or for the Investor of $20,000, shall be paid by the CompanyCompany from the first Drawdown.

All expenses, expenses (other than underwriting discounts and commissions and other fees and expenses of investment bankers and other than as set forth in the Investment Agreement, brokerage commissions) incurred in connection with registrations including commentsregistrations, filings or qualifications pursuant to Sections 2 and Section 3, including, without limitation, all registration, listing and qualifications fees, printing printers and accounting fees, fees and the fees and disbursements of counsel for the Company or for the Investor Company, shall be paid borne by the Company; provided, however, that the Investors shall bear the fees and out-of-pocket expenses of the one legal counsel selected by the Investors pursuant to Section 3(h) hereof.

Other than specified in Section 6 hereof, the Company and the Investor shall pay for their own legal fees.

All legal expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Equity Financing Agreement, incurred in connection with registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, and printing and accounting fees, and fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company. Notwithstanding the foregoing, the Investor shall bear its own legal expenses in connection with this Agreement and the review of any Registration Statement or amendment thereto.

All expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Agreement, incurred in connection with or in any way related to registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, printing and accounting fees, and fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company, except that the Investor shall pay to the extent of any matters caused by, or due to the actions or delays or omissions of, the Investor.

Expenses of Registration. All expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Agreementstock transfer taxes, incurred in connection with registrations including commentsregistrations, filings or and qualifications pursuant to to, or otherwise in connection with the Company’s compliance with its obligations under, Sections 2 and 34, including, without limitation, including all registration, listing and qualifications fees, printing printers and accounting fees, and fees and disbursements of counsel for the Company or for the Investor Company, shall be paid by the Company; provided, however, that with respect to each Registration Statement the Company shall not be required to pay for the expenses of more than one counsel acting on behalf of the Investors.

Expenses of Registration. All legal expenses, other than underwriting discounts and commissions and other than as set forth in the Investment Securities Purchase Agreement, incurred in connection with registrations including comments, filings or qualifications pursuant to Sections 2 and 3, including, without limitation, all registration, listing and qualifications fees, and printing and accounting fees, and fees and disbursements of counsel for the Company or for the Investor shall be paid by the Company.. In the event any Registrable Securities are included in the Registration Statement under this Agreement:
