Common use of Expenses of the Representative Clause in Contracts

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a), on the Closing Date it will pay to the Representative (i) a non-accountable expense allowance of up to $35,000, (ii) up to $100,000 for fees and expenses of legal counsel and other out-of-pocket expenses and (iii) up to $15,950 for escrow and/or clearing expenses, all of which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a4.6(a), on the Closing Date it will pay to the Representative (i) a non-an accountable expense allowance of up to $35,000, (ii) in an amount up to $100,000 for fees and expenses of legal counsel and other out-of-pocket expenses and (iii) up to $15,950 for escrow and/or clearing expenses, all of which shall be paid by deduction from the proceeds of the Offering contemplated herein.

The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a4.6(a), on the Closing Date it will pay to the Representative (i) a non-an accountable expense allowance of up to $35,000, (ii) up equal to $100,000 for fees and expenses of legal counsel and other out-of-pocket expenses and (iii) up to $15,950 for escrow and/or clearing expenses, all of which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a4.6(a), on the Closing Date it will pay to the Representative (i) a non-an accountable expense allowance of up equal to $35,000, (ii) up to $100,000 for fees and expenses of legal counsel and other out-of-pocket expenses and (iii) up to $15,950 for escrow and/or clearing expenses, all of which shall be paid 80,000 by deduction from the proceeds of the Offering contemplated herein.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a4.6(a), on the Closing Date it will pay to the Representative (i) a non-an accountable expense allowance of in an amount up to $35,000, (ii) up to $100,000 for fees and expenses of legal counsel and other out-of-pocket expenses and (iii) up to $15,950 for escrow and/or clearing expenses, all of which shall be paid 300,000 by deduction from the proceeds of the Offering contemplated herein, pursuant to paragraph A.2 of the Engagement Agreement.

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a4.6(a), on the Closing Date it Date, the Company will pay to the Representative (i) a reimburse the Representative $50,000 for non-accountable expense allowance of up to $35,000expenses, (ii) reimburse the Representative up to $100,000 150,000 for fees and expenses of legal counsel and other out-of-pocket expenses expenses, and (iii) reimburse the Representative for its clearing expenses in an amount of up to $15,950 for escrow and/or clearing expenses15,950, all of which shall be paid by deduction from the proceeds of the Offering contemplated herein.
