Common use of Expenses of the Representative Clause in Contracts

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date, the Company will (i) pay the Representative a non-accountable expenses allowance of $25,000, (ii) reimburse the Representative for its legal and other documented out-of-pocket expenses of the Offering in an amount of up to an aggregate of $100,000, and (iii) reimburse the Representative for its clearing expenses in the amount of $10,000 by deduction from the proceeds of the Offering contemplated herein

Expenses of the Representative. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.6(a), on the Closing Date, the Company Date it will (i) pay the Representative a non-accountable expenses allowance of $25,000, (ii) reimburse the Representative up to $115,000 for its legal fees, costs and other documented out-of-pocket expenses of related to the Offering in an amount of up to an aggregate of $100,000, and (iii) reimburse the Representative for its clearing expenses in the amount of $10,000 by deduction from the proceeds of the Offering contemplated herein.
