Common use of Expenses of Transfer Clause in Contracts

Expenses of Transfer. The transferring Shareholder agrees that it will pay all expenses, including attorneys’ fees and fees in connection with the evaluation of the transfer pursuant to this Section 3.01, incurred by the Company in connection with any attempted or realized Transfer of all or any portion of its interest, whether or not the Board consents to such Transfer. Such costs generally will include the amount of any transfer taxes due as a result of a Shareholder’s Transfer and the costs of accounting for such Transfers, including for applicable tax purposes.
