Common use of Expenses Related to the Enforcement or Interpretation of this Agreement Clause in Contracts

Expenses Related to the Enforcement or Interpretation of this Agreement. The Company shall indemnify the Indemnitee against all reasonable Expenses incurred by the Indemnitee in connection with any hearing or proceeding under this Section 8 involving the Indemnitee and against all reasonable Expenses incurred by the Indemnitee in connection with any other proceeding between the Company and the Indemnitee involving the interpretation or enforcement of the rights of the Indemnitee under this Agreement, unless a court of competent jurisdiction finds that each of the claims and/or defenses of the Indemnitee in any such proceeding was frivolous or made in bad faith.

The Company shall indemnify the Indemnitee against all reasonable Expenses incurred by the Indemnitee in connection with any hearing or proceeding under this Section 8 involving the Indemnitee and against all reasonable Expenses incurred by the Indemnitee in connection with any other proceeding between the Company and the Indemnitee involving the interpretation or enforcement of the rights of the Indemnitee under this Agreement, unless a court of competent jurisdiction finds that each of the claims and/or defenses of the Indemnitee in any such proceeding was frivolous or made in bad faith.

The Company shall indemnify the Indemnitee against all reasonable Expenses incurred by the Indemnitee in connection with any hearing or proceeding under this Section 8 involving the Indemnitee Indemnitee, and against all reasonable Expenses incurred by the Indemnitee in connection with any other proceeding between the Company and Indemnitee to the Indemnitee extent involving the interpretation or enforcement of the rights of the Indemnitee under this Agreement, unless a court of competent jurisdiction finds that each of if and to the claims and/or defenses of the extent Indemnitee in any such proceeding was frivolous or made in bad faithis successful.

The Company shall indemnify the Indemnitee Indemnitees against all reasonable Expenses incurred by the Indemnitee Indemnitees in connection with any hearing or proceeding under this Section 8 involving the Indemnitee Indemnitees and against all reasonable Expenses incurred by the Indemnitee Indemnitees in connection with any other proceeding between the Company and the Indemnitee Indemnitees involving the interpretation or enforcement of the rights of the Indemnitee Indemnitees under this Agreement, unless a court of competent jurisdiction finds that each of the claims and/or defenses of the Indemnitee Indemnitees in any such proceeding was frivolous or made in bad faith.
