Common use of Expenses; Transfer Taxes Clause in Contracts

Expenses; Transfer Taxes. (a) Whether or not the Closing takes place, and except as set forth in Section 6.02(b) or in Article VII, all costs and expenses incurred in connection with the preparation of the Transaction Documents and the consummation of the Transactions shall be paid by the party incurring such costs and expenses, including all costs and expenses incurred pursuant to Section 4.04.

(a) Whether or not the Closing takes place, and except as set forth in Section 6.02(b) or in Article VIIVIII, all costs and expenses incurred in connection with the preparation of the Transaction Documents this Agreement and the consummation of the Transactions shall be paid by the party incurring such costs and expensesexpense, including all costs and expenses incurred pursuant to Section 4.045.01.

The Purchasers shall bear all fees for the filings, notifications, permits, authorizations, consents and approvals, if any, required for the transactions contemplated hereby pursuant to any Antitrust Laws.

(a) Whether Without regard to whether or not the Closing takes place, and except as set forth in Section 6.02(b) or in Article VII, all costs and expenses incurred in connection with this Agreement, the preparation of the Transaction Documents documents to be executed in connection herewith and the consummation of the Transactions transactions contemplated hereby and thereby shall be paid by the party incurring such costs and expensesexpense, including all costs and expenses incurred pursuant to Section 4.044.6.
