Expenses; Transfer Taxes. (a) Except as set forth in Section 5.02(b) below and in Sections 5.03 and 7.03, all costs and expenses incurred in connection with this Agreement and the Ancillary Agreements and the transactions contemplated hereby and thereby shall be paid by the party incurring such expense, including all costs and expenses incurred pursuant to Sections 1.04 and 5.01.
