Expiration Date; Extensions and Amendment. The initial expiration date of the Offer shall be either the 20th or 21st Business Day after commencement of the Offer (determined in accordance with Rules 14d-1(g)(3) and 14d-2 under the Exchange Act). The Parent and the Purchaser expressly reserve the right to increase the Offer Price and, subject to the immediately succeeding sentence, reserve the right to waive, amend, modify or supplement any of the Offer Conditions or other terms of the Offer. Notwithstanding anything to the contrary contained in this Agreement, neither the Parent nor the Purchaser shall (without the prior written consent of the Company):
