Common use of Expiration of Registration Statement Clause in Contracts

Expiration of Registration Statement. If the third anniversary of the initial effective date of the Registration Statement occurs before all the Securities have initially been sold by the Underwriters (of which the Representatives will notify the Company promptly after the completion of the initial sale), prior to such third anniversary the Company, if it has not already done so and is eligible to do so, will file a new shelf registration statement and take any other action necessary to permit the public offering of the Securities to continue without interruption; references herein to the Registration Statement shall include the new registration statement declared effective by the Commission.
