Common use of Export Control and Economic Sanctions Law Compliance Clause in Contracts

Export Control and Economic Sanctions Law Compliance. ExtraHop’s Offerings incorporate cryptographic software. Each party agrees to comply with the Export Control Reform Act, the Export Administration Regulations and the economic sanctions regulations administered by the Treasury Department’s Office of Foreign Assets Control as well as any and all other U.S. government and foreign government regulations relating to the export of technical data and equipment and products produced therefrom which are applicable to Customer. Customer further agrees not to disclose or transmit to ExtraHop any information that requires that access to such information be limited to U.S. nationals or personnel based in a certain country or region. In countries other than the US, Customer agrees to comply with the local regulations regarding importing, exporting or using cryptographic software. Customer agrees it will not export or re-export the Offerings to any country, person, or entity or for any activity that is subject to U.S. export restrictions. Specifically, Customer agrees not to export or re-export the Offerings: (a) to any country to which the U.S. has embargoed or restricted the export of goods or services, or to any national of any such country, wherever located, who intends to transmit or transport the Offerings back to such country, (b) to any person or entity who Customer knows or has reason to know will utilize the Offerings or portion thereof in the design, development or production of nuclear, chemical or biological weapons, or missiles, or (c) to any person or entity who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government, including but not limited to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce’s Table of Denial Orders. By installing or using the Offerings, Customer represents and warrants that it is not located in, under control of, or a national or resident of any such country or on any such list.
