Extension of Divestiture Deadline Sought by Company. Notwithstanding Section 6.01, the Company shall extend the Divestiture Deadline if (i) the Company makes a good faith determination that compliance with Section 6.01 hereof would have an adverse affect on the Company, or any of its stockholders other than the Beneficiary, including the determination by the Company that the Beneficiary suspend sale under any effective registration statement pursuant to Section 2.1 of the Registration Rights Agreement, and (ii) the Company receives written confirmation from BCBSA that the extension of the Divestiture Deadline requested by the Company would not cause a violation of the license agreement governing the Company's use of the Marks. The Beneficiary and the Company acknowledge that the BCBSA shall have the sole and absolute authority and discretion to determine whether to consent to an extension of the Divestiture Deadline, but shall have no obligation to grant such consent, and that in no event shall the Company have any liability to the Beneficiary or any other Person in the event that the BCBSA shall determine to deny any such extension request.

For the avoidance of doubt, the Administrative Agent shall not be required to deliver a Term SOFR Notice after a Term SOFR Transition Event and may do so in its sole discretion.
