Common use of Extent of Covenants; No Personal Liability Clause in Contracts

Extent of Covenants; No Personal Liability. All covenants, obligations and agreements of the Parties contained in this Agreement shall be effective to the extent authorized and permitted by applicable law. No such covenant, obligation or agreement shall be deemed to be a covenant, obligation or agreement of any present or future member, officer, agent or employee of the City or the Company other than in his or her official capacity, and neither the members of the legislative body of the City nor any City or Company official executing this Agreement shall be liable personally under this Agreement or be subject to any personal liability or accountability by reason of the execution thereof or by reason of the covenants, obligations or agreements of the City and the Company contained in this Agreement.

No such covenant, stipulation, obligation or agreement shall will be deemed to be a covenant, stipulation, obligation or agreement of any present or future member, officer, agent or employee of any of the City or the Company other than Parties hereto in his or her official their individual capacity, and neither the members of the legislative body of the City Council nor any City or Company official executing this Agreement, or any individual person executing this Agreement shall on behalf of the Company, will be liable personally under this Agreement or be subject to any personal liability or accountability by reason of the execution thereof or by reason of the covenants, stipulations, obligations or agreements of the City and or the Company contained in this Agreement.

All covenants, obligations and agreements of the Cooperative Parties contained in this Agreement shall be effective to the extent authorized and permitted by applicable law. No such covenant, obligation or agreement shall be deemed to be a covenant, obligation or agreement of any present or future member, officer, official, employee or agent or employee of the County, Authority, the City or the Company their respective Legislative Authorities, in other than in his or her its official capacity, and neither the members of the legislative body of the City any Legislative Authorities nor any City or Company official executing this Agreement shall be liable personally under on this Agreement or be subject to any personal liability or accountability by reason of the execution thereof or by reason of the covenants, obligations or agreements of the County, the Authority or the City and the Company contained in this Agreement.
