Facilities Contracts. The Parties agree that between the date hereof and the Closing Date, the ownership, lease, maintenance and operation of the Facilities and the Facilities Switchyard will be governed by the Facilities Contracts.
Facilities Contracts. Seller has no Knowledge of any claim, action, proceeding or investigation, pending or threatened, challenging the enforceability against Seller of the Facilities Contracts specified on SCHEDULE 4.11 "Certain Facilities Contracts," except for challenges to the enforceability of such contracts against the Facilities Owners or Facilities Switchyard Owners in common, challenges of which the Operating Agent has Knowledge, or challenges which are not likely to result in a Material Adverse Effect.
