Common use of Facilities Fee Clause in Contracts

Facilities Fee. A Facilities Fee payable to the Lenders on the earlier of (a) the date on which the Term Loans are repaid or prepaid in full or refinanced and (b) the second anniversary of the date hereof. The Facilities Fee shall be equal to the product of (x) Twenty-Four Million Dollars ($24,000,000) and (y), if such fee is payable on or before the day falling (i) six (6) months after the date hereof, one quarter of one percent (0.25%), (ii) twelve (12) months after the date hereof, one half of one percent (0.50%) or (iii) twelve (12) months and one (1) day after the date hereof, three-quarters of one percent (0.75%).
