FACILITIES, PAYMENTS AND SERVICES. 18 A. CONTRACTOR agrees to provide the services, staffing, facilities, and supplies in accordance 19 with this Agreement. COUNTY shall compensate, and authorize, when applicable, said services. 20 CONTRACTOR shall operate continuously throughout the term of this Agreement with at least the 21 minimum number and type of staff which meet applicable federal and state requirements, and which are 22 necessary for the provision of the services hereunder. 23 B. In the event that CONTRACTOR is unable to provide the services, staffing, facilities, or 24 supplies as required, ADMINISTRATOR may, at its sole discretion, reduce the Maximum Obligation 25 for the appropriate Period as well as the Total Maximum Obligation. The reduction to the Maximum 26 Obligation for the appropriate Period as well as the Total Maximum Obligation shall be in an amount 27 proportionate to the number of days in which CONTRACTOR was determined to be unable to provide 28 services, staffing, facilities or supplies. 29

The reduction to the Maximum 26 Obligation Not to 32 Exceed Amount for the appropriate Period as well as the Total Maximum Obligation Not to Exceed Amount shall be in an 33 amount 27 proportionate to the number of days in which CONTRACTOR was determined to be unable to 34 provide 28 services, staffing, facilities or supplies. 2935
