Facility Agent’s determination Clause Samples
The 'Facility Agent’s determination' clause grants the facility agent the authority to make decisions or judgments on specific matters related to the administration of a finance agreement. In practice, this means the facility agent may be responsible for calculating interest rates, determining payment dates, or resolving ambiguities in the agreement, often based on information provided by the parties or external sources. This clause ensures efficient and consistent management of the facility by centralizing decision-making, thereby reducing disputes and delays among the parties involved.
Facility Agent’s determination. The determination by the Facility Agent of any interest or commission payable under this Clause 6 shall be conclusive and binding on the Obligors except for any manifest error.
Facility Agent’s determination. The written determination of the Facility Agent acting reasonably with regard to any matter which, according to Clause 2.4(a), is to be determined according to its reasonable opinion shall be conclusive save in the case of manifest error. No person shall have any recourse to the Facility Agent in relation to any such determination if it proves to be the case that its opinion was incorrect unless the Facility Agent was grossly negligent or fraudulent in making any such determination.
