Failure to Appoint Successor Escrow Agent. If the Director and the Company have not appointed a successor escrow agent prior to the Resignation Date, the Escrow Agent may apply, at the expense of the Director and the Company (one half (1/2) to each) to a court of competent jurisdiction for the appointment of a successor escrow agent.
