Failure to Comply with the Exchange Act. The Borrower shall fail to comply with the reporting requirements of the Exchange Act; and/or the Borrower shall cease to be subject to the reporting requirements of the Exchange Act; provided; however, that during the period beginning on the issuance date and ending on the date which is one hundred eighty (180) days following the issuance date, the Borrower shall have a ten (10) day period to cure any failure to file timely reports with the SEC pursuant to the Exchange Act.
