Failure to Fulfill Conditions. In the event that any party hereto determines that a condition to its respective obligations to consummate the transactions contemplated hereby cannot be fulfilled on or prior to the termination of this Agreement, it will promptly notify the other parties. Each party will promptly inform the other parties of any facts applicable to it that would be likely to prevent or materially delay approval of the transaction contemplated hereby by any third party or which would otherwise prevent or materially delay completion of such transactions.
