Common use of Fair Salable Balance Sheet Clause in Contracts

Fair Salable Balance Sheet. The Fair Salable Balance Sheet delivered on the date hereof and attached hereto as Disclosure Schedule (3.4(d)) was prepared by Borrower on the same basis as the Pro Forma, except that Borrower's assets are set forth therein at their fair salable values on a going concern basis and the liabilities set forth therein include all contingent liabilities of Borrower stated at the reasonably estimated present values thereof.

Fair Salable Balance Sheet. The Fair Salable Balance Sheet delivered on the date hereof and attached hereto as Disclosure Schedule (3.4(d)) was prepared by Borrower Parent and its Subsidiaries on the same basis as the Pro Forma, except that Borrower's Borrowers' assets are set forth therein at their fair salable values on a going concern basis and the liabilities set forth therein include all contingent liabilities of Borrower Borrowers stated at the reasonably estimated present values thereof.

The Fair Salable Balance Sheet delivered on the date hereof and attached hereto as Disclosure Schedule (3.4(d)) was prepared by Borrower Holdings on the same basis as the Pro Forma, except that Borrower's Holdings’ and Subsidiaries’ assets are set forth therein at their fair salable values on a going concern basis and the liabilities set forth therein include all contingent liabilities of Borrower Holdings and its Subsidiaries stated at the reasonably estimated present values thereof.

The Fair Salable Balance Sheet delivered on the date hereof and attached hereto as Disclosure Schedule (3.4(d)) was prepared by Borrower Borrowers on the same basis as the Pro Formaunaudited balance sheets described in Section 3.4(a)(ii), except that Borrower's Borrowers’ assets are set forth therein at their fair salable values on a going concern basis and the liabilities set forth therein include all contingent liabilities of Borrower Borrowers stated at the reasonably estimated present fair values thereof.

The Fair Salable Balance Sheet delivered on the date hereof and attached hereto as Disclosure Schedule (3.4(d)4.4(d) was prepared by Borrower Borrowers on the same basis as the Pro Forma, except that Borrower's Borrowers' assets are set forth therein at their fair salable values on a going concern basis (provided, that with respect to the current assets of the Borrower (other than Refining), such assets are valued based on their fair market value) and the liabilities set forth therein include all contingent liabilities of Borrower Borrowers stated at the reasonably estimated present values thereof.
