False Warranties; Breach of Representations. Except as otherwise disclosed to the Bank in writing prior to the date hereof, any warranty or representation made by the Borrower, each U.S. Guarantor, and/or each European Subsidiary in this Second Waiver Agreement or any other Loan Document or in any certificate or other writing delivered under or pursuant to this Second Waiver Agreement or any other Loan Document, or in connection with any provision of this Second Waiver Agreement or related to the transactions contemplated hereby shall prove to have been false or incorrect or breached in any material respect.
