FCA Section 507 Clause Samples

FCA Section 507. To the extent FCA Section 507 is applicable, no Licensed Content includes or will include any matter for which any money, service or other valuable consideration is directly or indirectly paid or promised to Licensor or its Affiliates by a third party, or accepted from or charged to a third party by Licensor or its Affiliates, unless such is disclosed in accordance with FCA Section 507. Licensor and its Affiliates shall exercise reasonable diligence to inform its employees, and other persons with whom it deals directly in connection with such programs, of the requirements of FCA Section 507; provided, however, that no act of any such employee or of any independent contractor connected with any of the Licensed Content, in contravention of the provisions of FCA Section 507, shall constitute a breach of the provisions of this paragraph unless Licensor or its Affiliates have actual notice thereof and fail promptly to disclose such act to Licensee. As used in this paragraph, the term “service or other valuable consideration” shall not include any service or property furnished without charge or at a nominal charge for use in, or in connection with, any of the programs “unless it is so furnished in consideration for an identification in a broadcast of any person, product, service, trademark or brand name beyond an identification which is reasonably related to the use of such service or property on the broadcast,” as such terms are used in FCA Section 507. No inadvertent failure by Licensor or its Affiliates to comply with this paragraph shall be deemed a breach of this Agreement.
