Common use of FCC and Other Matters Clause in Contracts

FCC and Other Matters. The Company has duly and timely filed all cable television registration statements and other filings which are required to be filed by the Company under the Communications Act. The Company is in all material respects in substantial compliance with the Communications Act, including without limitation the rules and regulations of the FCC relating to the carriage of television signals. The execution, delivery and performance by the Company of this Agreement does not require the approval of the FCC and will not result in any violation of the Communications Act. The Company has recorded or deposited with and paid to the United States Copyright Office, the Register of Copyright and the Copyright Royalty Tribunal all notices, statements of account, royalty fees and other documents and instruments required under Title 17 of the United States Code and all rules and regulations thereunder (collectively and as from time to time in effect, the "Copyright Act"), including without limitation such of the foregoing required by Section 111(d) of the Copyright transmission subject to compulsory licensing pursuant to the provisions of Section 111(c) of the Copyright Act. The Company is in compliance with the provisions of the Copyright Act applicable to any secondary transmission by it to the public of a primary transmission and the Company is not liable to any Person for copyright infringement under the Copyright Act as a result of its cable television or other business operations.
