FCC PROHIBITIONS. Either party may terminate this Agreement if the FCC determines that the Agreement is not consistent with Licensee's obligations as a licensee and the parties cannot reform the Agreement to satisfy the FCC's concerns.
FCC PROHIBITIONS. Either party may terminate this Agreement if the FCC determines that the Agreement is not consistent with Broker’s obligations as a party to the LMA or Company’s obligations as licensee of the Station and the parties cannot reform the Agreement to satisfy the FCC’s concerns. Notwithstanding the foregoing, the parties agree to make good faith efforts to reform this Agreement under such circumstances. The party that causes the problem shall be responsible for the damages of the other. Any disputes under this clause shall be submitted to binding arbitration as provided herein.
FCC PROHIBITIONS. The parties agree that they shall refrain from accepting any compensation, gift or gratuity whatsoever (regardless of value or forum) if such compensation, gift or gratuity is received directly or indirectly, under any express or implied agreement, understanding or authorization, effecting in any way the content of the Program(s) in a manner contrary to Sections 317 and 508 of the Communications Act of 1934 as amended.
