Common use of FCPA and Other Anti-Bribery Laws Clause in Contracts

FCPA and Other Anti-Bribery Laws. (i) The Company and its Subsidiaries, and, to the Knowledge of the Company, its and their respective directors, employees (including officers) and agents, are in compliance with and, since the Applicable Date, have complied in all material respects with the FCPA and the Other Anti-Bribery Laws, except as would not reasonably be expected to be, individually or in the aggregate, material to the Company and its Subsidiaries (taken as a whole).

FCPA and Other Anti-Bribery Laws. (i) The Company and Company, its Subsidiaries, their respective directors and employees (including officers) and, to the Knowledge of the Company, agents and other Persons acting for or on behalf of the Company or its and their respective directors, employees (including officers) and agents, Subsidiaries are in compliance with and, since for the Applicable Datepast five (5) years, have complied in all material respects with the FCPA and the Other Anti-Bribery Laws, except as would not reasonably be expected to be, individually or Laws in the aggregate, all material to the Company and its Subsidiaries (taken as a whole)respects.
