FEDERAL EXCISE TAXES. The City is exempt from paying certain Federal Excise Taxes and will furnish an exemption certificate upon request.
FEDERAL EXCISE TAXES. In the event that any Federal Excise Tax is due with respect to any premiums due under this Agreement, the Company agrees to pay such tax in addition to any premiums due under this Agreement and agrees to remit such tax to the United States Internal Revenue Service and shall indemnify and hold the Reinsurer harmless for any such taxes which the Reinsurer may become obligated to pay. DISCLOSURES AND APPROVALS: The Company represents and warrants with respect to this Agreement and the transactions hereunder, and with respect to any insurance and reinsurance written by the Company which is covered by this Agreement and all transactions thereunder, that all
FEDERAL EXCISE TAXES. The Parties hereto agree that as soon as reasonably practicable following the Closing, each of ▇▇▇▇▇▇ and CBC shall pay to the Company an amount equal to the aggregate accrued but unpaid federal excise taxes (determined as of the Closing Date) in respect of the ▇▇▇▇▇▇ Business and the Coors Business, respectively, to the extent that ▇▇▇▇▇▇ or CBC, respectively, does not pay such taxes upon or after the Closing on or before they would otherwise become due.
FEDERAL EXCISE TAXES. To the extent the Stop Loss Premium is subject to the federal excise tax, the Reinsurer agrees to allow for the purpose of paying the federal excise tax one percent of the Stop Loss Premium, and the Company shall make payment of such tax to the U.S government.

FUEL CHARGES: Contractor at its own expense is liable for all fuel costs related to performance. No fuel surcharges will be accepted or paid by City. DISCOUNTS: If the Contract provides for payment discounts, payment discounts will be computed from the later date of the following: (a) when correct invoice is received by the City; or (b) when acceptable materials and/or materials were received by City. AMOUNTS DUE TO THE CITY: Contractor must be current and remain current in all obligations due to the City during performance. Payments to Contractor may be offset by any delinquent amounts due to City or fees and charges owed to City under this Contract. OFAC: No City payments may be made to any person in violation of Office of Foreign Assets Control regulations, 31 C.F.R. Part 501. INDEPENDENT CONTRACTOR: Contractor shall be an independent contractor for purposes of all laws, including but not limited to the Fair Labor Standards Act, Federal Insurance Contribution Act, Social Security Act, Federal Unemployment Tax Act, Internal Revenue Code, Immigration and Naturalization Act; Arizona revenue and taxation, workers’ compensation, and unemployment insurance laws. CONTROL: Contractor shall be responsible for the control of the work.
