Common use of Fee Compliance Clause in Contracts

Fee Compliance. The fees under the Agreement have been mutually agreed upon through an arms-length transaction based on the totality of the Services, are consistent with fair market value, do not include a split or percentage of any fees charged for any professional services provided in relation to the Agreement, and are not determined in a manner that takes into account the volume or value of any referrals between the Parties for which payment may be made in whole or in part under any Third-Party Plan.
