Fee Disputes. Disputes with respect to fees the Company charges Participants pursuant to this Article XI shall be determined by the Operating Committee or a Subcommittee designated by the Operating Committee. Decisions by the Operating Committee or such designated Subcommittee on such matters shall be binding on Participants, without prejudice to the rights of any Participant to seek redress from the SEC pursuant to SEC Rule 608 or in any other appropriate forum. The Participants shall adopt rules requiring that disputes with respect to fees charged to Industry Members pursuant to this Article XI be determined by the Operating Committee or a Subcommittee.
