Fee Letter Termination. The parties hereto acknowledge and agree that the fee letter between Lender and Borrower, dated as of the Closing Date, is hereby terminated and shall, as of the date hereof, cease to be of any force or effect; provided however, that any obligation of the Borrower to pay fees accrued and owing thereunder prior to the Restatement Date shall survive such termination.
