Fees and Costs Attendant to Partnership Offering. The Partnership will pay, or cause to be paid, all costs and expenses associated with this offering of the Partnership's Units, including (i) the preparation, printing and filing of the Prospectus and all amendments and supplements thereto with the appropriate Federal and state regulatory agencies and the self regulatory agencies; (ii) the furnishing to the Sales Agents of copies of the Prospectus and of other documents required to be furnished, including costs of shipping and mailing; (iii) fees and disbursements of legal counsel, accountants, and other experts in connection with the transactions contemplated by this Agreement; and, (iv) any other organization, escrow, and offering expenses of the Partnership associated with this Offering Period. The General Partner may be reimbursed by the Fund to the extent of any organization and offering expenses it has advanced. Each other party to this Agreement shall bear all of its own expenses under this Agreement, including fees and disbursements of its legal counsel, accountants and other experts.
