Fees and Expenses Associated with Requests. The Borrower shall ------------------------------------------ pay, or reimburse the Lender for, all costs and expenses incurred by the Lender, including the reasonable out-of-pocket legal fees and expenses incurred by the Lender in connection with the preparation, review and negotiation of all documents, instruments and certificates to be executed and delivered in connection with each Request, the performance by the Lender of any of its obligations with respect to the Request, the satisfaction of all conditions precedent to the Borrower's rights or the Lender's obligations with respect to the Request, and all transactions related to any of the foregoing, including the cost of title insurance premiums and applicable recordation and transfer taxes and charges and all other costs and expenses in connection with a Request. The obligations of the Borrower under this subsection shall be absolute and unconditional, regardless of whether the transaction requested in the Request actually occurs. The Borrower shall pay such costs and expenses to the Lender on the Closing Date for the Request, or, as the case may be, after demand by the Lender when the Lender determines that such Request will not close.

The Borrower shall ------------------------------------------ pay, or reimburse the Lender for, all reasonable out-of-pocket third party costs and expenses incurred by the Lender, including the reasonable out-of-pocket legal fees and expenses incurred by the Lender in connection with the preparation, review and negotiation of all documents, instruments and certificates to be executed and delivered in connection with each Requestrequest pertaining to this Agreement, the performance by the Lender of any of its obligations with respect to the Requestrequest, the satisfaction of all conditions precedent to the Borrower's ’s rights or the Lender's ’s obligations with respect to the Requestrequest, and all transactions related to any of the foregoing, including the cost of title insurance premiums and applicable recordation and transfer taxes and charges and all other reasonable costs and expenses in connection with a Requestrequest pertaining to this Agreement. The obligations of the Borrower under this subsection shall be absolute and unconditional, regardless of whether the transaction requested in the Request request actually occurs. The Borrower shall pay such costs and expenses to the Lender on the Closing Date for the Requestrequest, or, as the case may be, after demand by the Lender when the Lender determines that such Request request will not close.

The obligations of the Borrower under this subsection shall be absolute and unconditional, regardless of whether the transaction requested in the Request such request actually occurs. The Borrower shall pay such costs and expenses to the Lender on the Closing Date for the Requestrequest, or, as the case may be, within five (5) days after demand therefor by the Lender when the if Lender determines that such Request request will not be approved or otherwise close.
