Fees and Expenses Associated with Requests. Borrower shall pay, or reimburse Lender and Xxxxxx Mae for, all reasonable out-of-pocket costs and expenses incurred by Lender and Xxxxxx Xxx, including legal fees and expenses incurred by Lender and Xxxxxx Mae in connection with the preparation, review and negotiation of all documents, instruments and certificates to be executed and delivered in connection with any request under this Agreement (including any request for a Supplemental Loan), the performance by Lender of any of its obligations with respect to any request (including any request for a Supplemental Loan), the satisfaction of all conditions precedent to Borrower’s rights or Lender’s obligations with respect to any request (including any request for a Supplemental Loan), and all transactions related to any of the foregoing, including the cost of title insurance premiums and applicable recordation and transfer taxes and charges and all other reasonable out-of-pocket costs and expenses in connection with a request (including any request for a Supplemental Loan). The obligations of Borrower under this subsection shall be absolute and unconditional, regardless of whether the transaction requested in such request actually occurs. Borrower shall pay such costs and expenses to Lender on the Closing Date for the request, or, as the case may be, after demand by Lender if Lender determines that such request will not be approved or otherwise close.

The applicable Collateral Pool Borrower shall pay, or reimburse Lender Xxxxxx Xxx and Xxxxxx Mae Servicer for, all reasonable out-of-pocket third-party costs and expenses incurred by Lender Xxxxxx Mae and Xxxxxx XxxServicer, including the out-of-pocket legal fees and expenses incurred by Lender Xxxxxx Xxx and Xxxxxx Mae Servicer in connection with the preparation, review and negotiation of all documents, instruments and certificates to be executed and delivered in connection with any request under this Agreement (including any request each Request for a Supplemental Loan)such Collateral Pool Borrower, the performance by Lender Xxxxxx Mae of any of its obligations with respect to any request (including any request for a Supplemental Loan)the Request, the satisfaction of all conditions precedent to such Borrower’s rights or LenderXxxxxx Mae’s obligations with respect to any request (including any request for a Supplemental Loan)the Request, and all transactions related to any of the foregoing, including the cost of title insurance premiums and applicable recordation and transfer taxes and charges and all other reasonable out-of-pocket costs and expenses in connection with a request (including any request for a Supplemental Loan)Request.
