Common use of Fees and Expenses of Agent Clause in Contracts

Fees and Expenses of Agent. Agent shall (a) be paid a fee for its services under this Agreement as provided by Exhibit A and (b) be entitled to reimbursement for reasonable expenses (including the reasonable fees and disbursements of its counsel engaged pursuant to Sections 1.3 and/or 1.4 hereof, or otherwise) actually incurred by it in connection with its duties under this Agreement (collectively, the "Agent Fees and Expenses"). All Agent Fees and Expenses shall be paid one-half by Buyer and one-half by Seller. Escrow Agent shall have a lien upon the Funds for payment of its fees and expenses. Escrow Agent may pay itself from the Funds for any fees and expenses for which it has not been paid.
