Common use of Fees and Expenses of Appraiser Clause in Contracts

Fees and Expenses of Appraiser. In the case of a purchase and sale of Membership Interest under paragraph 14.01 or 14.02 of this Agreement (in the event of death or divorce of a Member), the fees and expenses of such appraiser shall be paid by the Company. In the case of a purchase and sale of Membership Interest under paragraph 14.03 or 15.01 (in the event of the bankruptcy or default of a Member), the fees and expenses of such appraiser shall be paid by the Bankrupt Member or Defaulting Member, by deducting at closing such fees and expenses from the purchase price to be paid to such Bankrupt Member or Defaulting Member, and remitting the same to the Company. Otherwise, the fees and expenses of such appraiser shall be shared equally by the purchaser and seller.

Otherwise, the fees and expenses of such appraiser shall be shared equally by the purchaser and seller.

In the case of a purchase and sale of Membership Interest under paragraph 14.01 or 14.02 of this Agreement 15.01 (in the event of death or divorce of a ofthe default ofa Member), the fees and expenses of such appraiser shall be paid by the Company.
