Common use of Fees and Expenses of Bank Clause in Contracts

Fees and Expenses of Bank. The Company, on behalf of a Fund, ------------------------- will pay or reimburse the Bank from time to time for any transfer taxes payable upon transfer of Portfolio Securities made hereunder. All necessary proper disbursements, expenses and charges made or incurred by the Bank in the performance of this Agreement (including any duties listed on Schedule C hereto) including any indemnities for any loss, liabilities or expense to the Bank as provided above shall be paid in accordance with Schedule B hereto, provided that the Bank shall not be entitled to compensation and/or reimbursement for services and/or expenses and liabilities by the Company, with respect to the Funds, hereunder so long as the Bank is entitled to receive compensation and reimbursements from Barclays Global Investors, N.A. ("BGI") for providing sub- administration services to the Company on behalf of the Funds. If the Bank no longer is entitled to receive such compensation and reimbursements from BGI, the Bank shall be entitled hereunder to such compensation or fees and reimbursements at such rate and at such times as it may from time to time negotiate with the Company, and such Schedule B shall be amended accordingly.

The CompanyTrust, on behalf of a FundMaster ------------------------- Portfolio, ------------------------- will pay or reimburse the Bank from time to time for any transfer taxes payable upon transfer of Portfolio Securities made hereunder. All necessary proper disbursements, expenses and charges made or incurred by the Bank in the performance of this Agreement (including any duties listed on Schedule C hereto) including any indemnities for any loss, liabilities or expense to the Bank as provided above shall be paid in accordance with Schedule B hereto, provided that the Bank shall not be entitled to compensation and/or reimbursement for services and/or expenses and liabilities by the CompanyTrust, with respect to the FundsMaster Portfolios, hereunder so long as the Bank is entitled to receive compensation and reimbursements from Barclays Global Investors, N.A. ("BGI") for providing sub- sub-administration services to the Company Trust on behalf of the FundsMaster Portfolios. If the Bank no longer is entitled to receive such compensation and reimbursements from BGI, the Bank shall be entitled hereunder to such compensation or fees and reimbursements at such rate and at such times as it may from time to time negotiate with the CompanyTrust, and such Schedule B shall be amended accordingly.

("BGI") for providing sub- sub-administration services to the Company Trust on behalf of the FundsMaster Portfolios. If the Bank no longer is entitled to receive such compensation and reimbursements from BGI, the Bank shall be entitled hereunder to such compensation or fees and reimbursements at such rate and at such times as it may from time to time negotiate with the CompanyTrust, and such Schedule B shall be amended accordingly.
