FEES AND EXPENSES OF SECURED PARTY. Pledgors shall reimburse Secured Party for, and save Secured Party harmless from and against liability for the payment of, all out-of-pocket expenses arising in connection with the enforcement of, or for the preservation or exercise of any rights (including the right to realize upon the Collateral) under, this Agreement, including, without limitation, reasonable attorneys' fees.

Pledgors Secured Party shall be reimbursed by Pledgor for its out-of-pocket expenses, including, without limitation, reasonable attorneys' fees, incurred in effecting any of the transactions and responsibilities described herein.
