Common use of Fees and Expenses of the Trustee and Remarketing Agent Clause in Contracts

Fees and Expenses of the Trustee and Remarketing Agent. The Obligor shall pay the reasonable fees, costs and expenses and advances of the Trustee, and the Remarketing Agent under the Indenture for services rendered in connection with the Bonds, the duties and services of such Trustee being set out in the Indenture, and it shall pay the Trustee, in addition, all reasonable out-of-pocket counsel fees, taxes and other fees, costs and expenses reasonably incurred by the Trustee in performing its duties as Trustee and in entering into the Indenture. All such payments shall be made as statements are rendered and shall be made by the Obligor directly to the Trustee except to the extent fees and expenses of the Trustee incurred in connection with the issuance of the Bonds are paid from proceeds of sale of the Bonds.
