Fees, etc. Concurrently with the funding of the Loans, the Administrative Agent shall have received evidence of payment of all fees required to be paid on the Closing Date pursuant to the Fee Letter (as defined in the Nexstar Credit Agreement) and reasonable and documented out of pocket costs and expenses (including, without limitation, legal fees and expenses) that have been invoiced at least three Business Days before the Closing Date (which amounts may be offset against the proceeds of the Loans).
