Fees, Expenses and Interest. 15.1 The Custodian’s remuneration under this Schedule and the method of payment will be as set out in a separate fee letter entered into between the Custodian and the Client in furtherance of this Schedule, as may amended from time to time by written agreement between the Custodian and the Client (the “Fee Letter”). 15.2 The fees and expenses will be payable within 5 Business Days from the date an invoice is sent and may be automatically debited to the Cash Account or any other account of the Client’s with the Custodian if unpaid within 5 days of the date of the invoice. Where such account is in a different currency from the currency in which the invoice is denominated, the Custodian may convert the amount due in accordance with Clause 03 of this Schedule. 15.3 The fees will not be reduced by, and the Custodian may retain any other remuneration or any profit received by the Custodian from any third party in connection with transactions effected by the Custodian for the Client in which the Custodian or an Affiliate of the Custodian has other interests to which the provisions of Clause Error! Reference source not found.1 apply. 15.4 The Custodian shall be entitled, to the extent permitted by applicable law, to charge interest on sums due and payable but unpaid. Such interest shall accrue at 3 per cent per annum above the base rate from time to time of Barclays Bank Plc from and including the due date of payment until but excluding the date of actual payment. 15.5 Where Client requests Services in a market for which fees have not been agreed in advance and set out in the Fee Letter, Custodian will apply its Default Fees. 15.6 The Custodian may deduct from any monies held on behalf of the Client pursuant to this Schedule such compensation and any out-of-pocket expenses which are properly incurred (including the amount of any loss, damage, liability or expense incurred with respect to the Client, such as reasonable counsel fees) incurred by the Custodian in the performance of its duties pursuant to this Schedule.

Fees, Expenses and Interest. 15.1 The Custodian’s 12.1 All detail in relation to Xxxxxxxx’ remuneration under this Schedule Agreement and the method of and timeframes for payment will be as are set out in a separate fee letter entered into between the Custodian and the Client in furtherance of this ScheduleFees Letter, as may amended or otherwise agreed from time to time by written agreement between the Custodian Xxxxxxxx and the Client (Manager. In the “Fee Letter”)event of any contradiction between the terms of the Fees Letter and the terms of this Agreement, the terms of the Fees Letter shall prevail.
15.2 12.2 The Parties shall use all reasonable endeavours to agree all fees and expenses due to Multrees within 30 days of the relevant calculations being sent to the Manager by Xxxxxxxx. The fees and expenses will be payable within 5 Business Days from the date an invoice is sent timeframes detailed in the Fees Letter and, unless otherwise mutually agreed by Xxxxxxxx and the Manager, may be automatically debited to the Cash Account or any other account of the Client’s with the Custodian if unpaid within 5 days of the date of the invoice. 15.3 12.3 The fees will not be reduced by, and the Custodian Multrees may retain retain, any other remuneration or any profit received by the Custodian Multrees from any third party in connection with transactions effected by the Custodian Xxxxxxxx for the Client Manager in which the Custodian Multrees (or an Affiliate of the Custodian its Affiliate(s)) has other interests to which the provisions of Clause Error! Reference source not found.1 17 (Interests of Multrees and its Affiliates) apply.
15.4 The Custodian 12.4 Multrees shall be entitled, to the extent permitted by applicable lawthe Rules, to charge interest on sums due and payable but unpaid. Such interest shall be charged at the annual rate set out in the Fees Letter and shall accrue at 3 per cent per annum above the base rate from time to time of Barclays Bank Plc daily from and including the due date of payment until but excluding the date of actual payment.
15.5 Where Client requests Services 12.5 Should any interest be payable by Multrees to a Customer this will be passed on in a market for which fees have not been agreed in advance and set out accordance with the provisions of the Fees Letter. The Manager acknowledges that any interest rates stipulated in the Fee Fees Letter are applicable as at the Effective Date but may fluctuate in accordance with prevailing market rates. The rate of interest received by Multrees from some banks may be higher than that offered by Multrees to Customers.
12.6 Notwithstanding Clause 12.1, in the event of termination of Services to a Customer under Clause 24, the fees due in respect of the Services provided to that Customer from the date of receipt of notice of termination shall be calculated:
(a) in accordance with the Fees Letter, Custodian will apply its Default Fees.
15.6 The Custodian may deduct from any monies held on behalf save that for the purposes of the Client calculation, AUC shall be the value of all the Property held in respect of that Customer at the date of receipt of the notice of termination; and
(b) up to the later of (i) the delivery of all of the Customer's Property to the Customer (or such other person as specified in Instructions) (ii) the expiry of any notice period of termination or (iii) the expiry of any extended period of Services pursuant to this Schedule such compensation Clause 24.4, and will be payable (together with any out-of-pocket expenses which are properly incurred (including value added tax) on or before the amount proposed day of any loss, damage, liability or expense incurred with respect to delivery of the Client, such as reasonable counsel fees) incurred by the Custodian in the performance of its duties pursuant to this ScheduleProperty.
