Fees of Purchaser’s Counsel and Consultants. The Company shall have paid all of the fees, expenses and disbursements of Phoenix and its Affiliate, SG Phoenix LLC, and otherwise satisfied its obligations under Section 14.8 hereof and the Fee Letter in full.
