Common use of Fees of the Independent Accountants Clause in Contracts

Fees of the Independent Accountants. Sellers shall pay a portion of the fees and expenses of the Independent Accountants equal to such fees and expenses multiplied by a fraction, the numerator of which is the amount of Disputed Amounts submitted to the Independent Accountants that are resolved in favor of Buyer (that being the difference between the Independent Accountants’ determination and Sellers’ Representative’s determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountants (that being the sum total by which Buyer’s determination and Sellers’ Representative’s determination differ from the determination of the Independent Accountants). Buyer shall pay that portion of the fees and expenses of the Independent Accountants that Sellers are not required to pay hereunder.

Buyer Purchaser shall pay that portion of the fees and expenses of the Independent Accountants that Sellers are not required to pay hereunder.

The Sellers shall pay a portion of the fees and expenses of the Independent Accountants equal to such fees and expenses 100% multiplied by a fraction, the numerator of which is the amount of Disputed Amounts submitted to the Independent Accountants that are resolved in favor of Buyer the Purchaser (that being the difference between the Independent Accountants’ determination and the Sellers’ Representative’s determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountants (that being the sum total by which Buyerthe Purchaser’s determination and the Sellers’ Representative’s determination differ from the determination of the Independent Accountants). Buyer The Purchaser shall pay that portion of the fees and expenses of the Independent Accountants that Sellers are the Sellers’ Representative is not required to pay hereunder.

Sellers The Seller Representative shall pay a portion of the fees and expenses of the Independent Accountants equal to such fees and expenses 100% multiplied by a fraction, the numerator of which is the amount of Disputed Amounts submitted to the Independent Accountants that are resolved in favor of Buyer XXXX (that being the difference between the Independent Accountants’ determination and Sellers’ the Seller Representative’s determination) and the denominator of which is the total amount of Disputed Amounts submitted to the Independent Accountants (that being the sum total by which Buyer’s XXXX’X determination and Sellers’ the Seller Representative’s determination differ from the determination of the Independent Accountants). Buyer XXXX shall pay that portion of the fees and expenses of the Independent Accountants that Sellers are the Seller Representative is not required to pay hereunder.

Sellers The Warrantor shall pay a portion of the fees and expenses of the Independent Accountants equal to such fees and expenses 100% multiplied by a fraction, the numerator of which is the amount of Disputed Amounts under this Section 2.08 submitted to the Independent Accountants that are resolved in favor of the Buyer (that being the difference between the Independent Accountants’ determination and the Sellers’ Representative’s determination) and the denominator of which is the total amount of Disputed Amounts under this Section 2.08 submitted to the Independent Accountants (that being the sum total by which the Buyer’s determination and the Sellers’ Representative’s Representative determination differ from the determination of the Independent Accountants). The Buyer shall pay that portion of the fees and expenses of the Independent Accountants that Sellers are the Warrantor is not required to pay hereunder.
