Fees or Commissions. Buyer has not made any agreement or taken any action which might cause anyone to become entitled to a broker's fee or commission as a result of the transactions contemplated hereunder.
Fees or Commissions. Neither the City nor RDA shall be liable for any broker fees or commissions incurred by Developer in connection with the Property or any transactions contemplated by this Agreement.

Each party hereto hereby covenants and agrees with the other that such party shall be solely responsible for the payment of any brokers’, agents’ or finders’ fees or commissions agreed to by such party arising from the execution of this Lease or the performance of the terms and provisions contained herein, AND SUCH PARTY AGREES TO INDEMNIFY AND HOLD THE OTHER PARTY HARMLESS FROM THE PAYMENT OF ANY SUCH FEES OR COMMISSIONS.

Purchaser (including its officers, directors and employees) has not incurred any liability for any brokerage fees, agent’s commissions or finder’s fees or other similar obligations in connection with the transactions contemplated hereby except as will be paid by Purchaser outside of Closing and without any liability on the part of Seller.
