Common use of FEES PAYABLE BY ASSIGNEE Clause in Contracts

FEES PAYABLE BY ASSIGNEE. On each day on which the Assignee receives a payment of interest or fees under the Credit Agreement (other than a payment of interest or fees which the Assignee is obligated to deliver to the Assignor pursuant to Section 4 hereof, which shall be excluded in determining fees payable to the Assignor pursuant to this Section), the Assignee shall pay to the Assignor a fee. The amount of such fee shall be the difference between (i) the amount of such interest or fee, as applicable, received by the Assignee and (ii) the amount of the interest or fee, as applicable, which would have been received by the Assignee if each interest rate was ___ of 1% less than the interest rate paid by the Company or if the facility fee was ___ of 1% less than the facility fee paid by the Company pursuant to Section 2.4, as applicable.
