Files Marked; Files and Records. The Seller shall, at its own expense, on or prior to the Closing Date or Funding Date, as the case may be, indicate in its files that the Receivables have been contributed to the Owner Trustee pursuant to this Agreement and deliver to the Owner Trustee a Schedule of Receivables certified by the Chairman, the President, a Vice President or the Treasurer of the Seller to be true, correct and complete. Further, the Seller hereby agrees that the computer files and other physical records of the Receivables maintained by the Seller will bear an indication reflecting that the Receivables were transferred to the Owner Trustee.
