Common use of Filing Fees, Excise Taxes, Etc Clause in Contracts

Filing Fees, Excise Taxes, Etc. Rite Aid agrees to pay or to reimburse the Second Priority Collateral Trustee for any and all amounts in respect of all search, filing, recording and registration fees, taxes, excise taxes and other similar imposts which may be payable or determined to be payable in respect of the execution, delivery, performance and enforcement of this Agreement to the extent the same may be paid or reimbursed by Rite Aid without subjecting the Second Priority Collateral Trustee, the Senior Collateral Agents or any Secured Party to any civil or criminal liability. The obligations of Rite Aid under this Section 6.05 shall survive the termination of this Agreement.
