Filing Fees, Excise Taxes, Etc. The Grantors jointly and severally agree to pay or to reimburse the Collateral Agent and each Secured Party for any and all amounts in respect of all search, filing, recording and registration fees, taxes, excise taxes and other similar imposts which may be payable or determined to be payable in respect of the execution, delivery, performance and enforcement of this Collateral Agent Agreement and each other Security Document and agree to save the Collateral Agent and each Secured Party harmless from and against any and all liabilities with respect to or resulting from any delay in paying or omitting to pay such taxes and fees. The obligations of the Grantors under this Section 6.5 shall survive the termination of the other provisions of this Collateral Agent Agreement.
